These Terms of Service (the "Terms") are a legal agreement between you and [INSERT LEGAL ENTITY NAME], doing business as Lookify ("Lookify," "we," "us," or "our"). They govern your access to and use of the Lookify mobile application, websites, AI-assisted media tools, and related products and services (collectively, the "Services").

Please read these Terms carefully. By downloading, accessing, purchasing, or using any part of the Services, or by clicking to accept these Terms, you agree to be bound by them. If you do not agree, do not use the Services.

1. Eligibility and authority

You must be at least 13 years old, or the minimum legal age required in your country to consent to use an online service. If you are under the age of legal majority where you live, you may use the Services only with the permission and supervision of a parent or legal guardian. That person must review and agree to these Terms on your behalf.

If you use the Services for a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" includes both you and the entity.

2. The Services

Lookify provides tools that may allow you to generate, edit, animate, enhance, transform, organize, save, or share images, videos, text, and other media. Some features use artificial intelligence or third-party processing providers.

We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services in accordance with these Terms. This right is for your own lawful use and does not transfer ownership of the Services or any Lookify technology to you.

Features, supported devices, usage limits, output quality, and availability may vary by location, account type, subscription plan, app version, and technical capacity. We may add, change, suspend, or discontinue features as described in Section 13.

3. Accounts and security

Some features may require an account. You agree to provide accurate and current information, keep your login credentials confidential, and promptly update information that changes. You are responsible for activity conducted through your account unless applicable law provides otherwise.

You may not sell, rent, share, or transfer your account or allow another person to impersonate you. Notify us promptly at the contact address in Section 20 if you believe your account or device has been compromised. We may require reasonable verification before restoring access or acting on an account request.

4. Your content

4.1 Ownership

You retain any ownership rights you have in the photos, videos, prompts, text, files, and other material you submit to the Services ("Input"). Input and the results generated or edited for you through the Services are collectively called "User Content."

4.2 Permission to process User Content

You give Lookify a limited, worldwide, non-exclusive, royalty-free license to host, copy, transmit, format, modify, display, and otherwise process User Content only as reasonably necessary to:

• provide the feature or result you request;
• store or display content when you choose to save it through the Services;
• maintain, secure, troubleshoot, and improve the operation of the Services;
• prevent fraud, abuse, or violations of these Terms; and
• comply with applicable law and enforce our legal rights.

This license lasts only for as long as necessary for those purposes, subject to reasonable backup periods and legal retention obligations. Our handling of personal information is further described in the Lookify Privacy Policy.

4.3 Your responsibilities

You represent and warrant that you own or have all rights, permissions, and lawful bases needed to submit and use your Input and to authorize the processing described in these Terms. This includes permissions from identifiable people shown or heard in the content, where required.

Do not upload another person's private, sensitive, intimate, or biometric-related content without a valid legal basis and all required consent. You remain responsible for User Content and for how you use, publish, or share it.

4.4 Content review and removal

We are not obligated to monitor all User Content. We may use automated systems and human review where reasonably necessary to operate the Services, enforce these Terms, protect users, or comply with law. We may block, remove, or restrict content that we reasonably believe violates these Terms or creates legal, safety, or operational risk. Where appropriate and legally permitted, we will provide notice or an opportunity to appeal.

5. AI-generated and edited outputs

AI systems can produce unexpected, inaccurate, incomplete, offensive, or similar results. Outputs may not be unique, and another user may receive the same or a similar result. You must review an output before relying on, publishing, or sharing it.

As between you and Lookify, and to the extent permitted by applicable law, you may use and claim any rights available to you in the output generated for you, subject to these Terms and any third-party rights. Lookify does not promise that an output is eligible for copyright, trademark, or other legal protection, or that its use will not infringe another person's rights.

Outputs are not professional, legal, medical, financial, safety, or other expert advice. Do not use the Services or outputs to make high-impact decisions about a person's employment, housing, credit, education, insurance, legal rights, medical care, or access to essential services.

6. Acceptable use

You may use the Services only lawfully and in accordance with these Terms. You must not use or attempt to use the Services to:

• violate any law, regulation, court order, or another person's rights;
• create, upload, or distribute content that infringes intellectual property, privacy, publicity, confidentiality, or data-protection rights;
• create or distribute non-consensual intimate imagery, sexual content involving minors, or content that exploits or endangers a child;
• harass, threaten, defame, abuse, discriminate against, or facilitate harm to another person;
• impersonate a person or deceptively present synthetic or edited media as authentic in a way likely to cause harm, fraud, or material confusion;
• identify, authenticate, track, or infer sensitive traits about a person from facial imagery or other biometric-related data;
• spread malware, conduct phishing, commit fraud, or facilitate unauthorized access to systems or data;
• bypass safety filters, usage limits, payment controls, access restrictions, or security measures;
• probe, scan, or test vulnerabilities without our prior written permission;
• reverse engineer, decompile, disassemble, copy, or derive source code or underlying models except where applicable law expressly permits it;
• scrape, harvest, or use automated means to access the Services without our prior written permission;
• overload, disrupt, damage, or interfere with the Services or another user's access;
• use outputs or access to the Services to build or train a competing model or service without our prior written permission; or
• resell, sublicense, or commercially redistribute access to the Services unless your plan or a separate written agreement expressly allows it.

You may not encourage or assist another person to do any of the above.

7. Lookify intellectual property

The Services, including our software, models, interfaces, design, text, graphics, branding, documentation, and other materials, are owned by or licensed to Lookify and are protected by intellectual-property and other laws. Except for the limited right to use the Services granted in Section 2, no rights are granted to you by implication or otherwise.

Lookify names, logos, product names, and related marks are trademarks of Lookify or its licensors. You may not use them without prior written permission, except as allowed by applicable law.

8. Feedback

If you voluntarily provide ideas, suggestions, or feedback about the Services, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation to you. This does not give us ownership of your User Content.

9. Purchases, subscriptions, and billing

9.1 Prices and payment

Certain features may require payment. Prices, billing periods, included usage, and applicable taxes will be shown before purchase. You authorize the applicable app store or payment provider to charge the payment method associated with your account. Except where required by law, fees are stated in the currency shown at checkout and may be changed for future purchases or renewal periods after appropriate notice.

9.2 Auto-renewing subscriptions

If you purchase an auto-renewing subscription, it will renew at the frequency and price disclosed at checkout unless you cancel before the renewal deadline shown by the applicable app store or payment provider. Your provider may charge your payment method up to 24 hours before the current subscription period ends. Deleting the app or your Lookify account does not automatically cancel a subscription.

You can manage or cancel a subscription through the account settings of the app store or payment provider used for the purchase. Cancellation normally takes effect at the end of the current paid period, and you will retain access until then unless the provider states otherwise.

9.3 Trials and promotions

A free or discounted trial may convert to a paid subscription unless you cancel before the deadline disclosed when you enroll. Promotional offers may be subject to additional eligibility rules and may be modified or withdrawn as permitted by law.

9.4 Refunds

Payments made through an app store are subject to that store's billing and refund rules. You should request a refund directly from the store unless applicable law or the checkout terms specify otherwise. Nothing in these Terms limits any mandatory cancellation, withdrawal, refund, or consumer rights available where you live.

10. Third-party services

The Services may depend on or link to app stores, payment providers, cloud platforms, AI-processing providers, social networks, or other third-party services. Their products, content, and practices are governed by their own terms and policies. Lookify does not control and is not responsible for third-party services, except to the extent applicable law provides otherwise.

11. Privacy

The Lookify Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the Services, you acknowledge that policy. If these Terms conflict with the Privacy Policy about the handling of personal information, the Privacy Policy controls for that issue.

12. Suspension and termination

You may stop using the Services at any time. If account deletion is available, you may request it through the Services or by contacting us. You remain responsible for canceling any subscription separately as described in Section 9.

We may suspend, restrict, or terminate your access if we reasonably believe that you violated these Terms, created risk or harm, failed to pay applicable fees, used the Services fraudulently, or if suspension is required by law or necessary to protect the Services. Where appropriate and legally permitted, we will provide notice and a reasonable opportunity to appeal.

After termination, your right to use the Services ends. Provisions that by their nature should survive will remain effective, including provisions about ownership, payments owed, feedback, disclaimers, limitation of liability, indemnity, disputes, and enforcement. We may delete content associated with a terminated account in accordance with our Privacy Policy and applicable law.

13. Changes to the Services

We may update, add, remove, limit, or discontinue all or part of the Services to improve functionality, address security or legal requirements, manage technical capacity, or respond to business needs. We do not guarantee that any particular feature or output will always remain available.

If a change materially reduces the core benefits of a paid subscription, we will provide notice or a remedy where required by law. We are not responsible for changes caused by third-party platforms or services outside our reasonable control.

14. Disclaimers

To the maximum extent permitted by applicable law, the Services and all outputs are provided "as is" and "as available." Lookify and its affiliates, officers, employees, contractors, licensors, and providers disclaim all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted or error-free operation.

We do not warrant that outputs will be accurate, unique, lawful for your intended use, free from third-party claims, or suitable for a particular purpose. You are responsible for reviewing outputs and maintaining backups of content important to you.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions above apply only to the extent permitted by law, and you may have additional rights.

15. Limitation of liability

To the maximum extent permitted by applicable law, Lookify and its affiliates, officers, employees, contractors, licensors, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, opportunity, goodwill, data, or content, arising from or related to the Services or these Terms, even if advised that such damages were possible.

To the maximum extent permitted by applicable law, the total liability of Lookify and the parties listed above for all claims arising from or related to the Services or these Terms will not exceed the greater of: (a) the amount you paid to Lookify for the Services during the 12 months before the event giving rise to the claim; or (b) USD 100.

These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be excluded or limited, including liability for fraud, willful misconduct, or death or personal injury caused by negligence where applicable law so provides.

16. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Lookify and its affiliates, officers, employees, contractors, licensors, and providers from claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from: (a) your User Content; (b) your use of the Services in violation of these Terms or applicable law; or (c) your infringement or violation of another person's rights.

This section does not apply to the extent a claim results from Lookify's own unlawful conduct, negligence, or willful misconduct, and it does not limit rights that cannot be waived under applicable consumer law.

17. Governing law and disputes

These Terms are governed by the laws of [INSERT GOVERNING JURISDICTION], without regard to conflict-of-law rules. Subject to any mandatory consumer rights, the courts located in [INSERT EXCLUSIVE COURT LOCATION] will have exclusive jurisdiction over disputes arising from or related to these Terms or the Services.

If you are a consumer, this choice of law and forum does not deprive you of protections or dispute rights that cannot be waived under the laws of your country or region. Before filing a formal claim, you and Lookify agree to make a reasonable good-faith effort to resolve the issue by contacting the other party, unless urgent relief is needed or applicable law says otherwise.

18. App store terms

If you download the app from Apple App Store or Google Play, your use is also subject to that store's applicable terms. These Terms are between you and Lookify, not the app store. The app store is not responsible for the Services, support, maintenance, or claims relating to the Services, except as required by its terms or applicable law.

If you downloaded the app from Apple App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the provisions that apply to them once you accept these Terms. Lookify, not Apple, is responsible for addressing claims concerning the app, including product-liability, regulatory, and intellectual-property claims, to the extent required by applicable law and Apple's terms.

19. Changes to these Terms

We may update these Terms to reflect changes in the Services, law, security needs, or our business practices. We will revise the "Last updated" date and provide additional notice when required by law. Material changes will apply prospectively from the stated effective date.

If you continue to use the Services after updated Terms take effect, you agree to the updated Terms. If you do not agree, you must stop using the Services and cancel any subscription. If applicable law requires your affirmative consent, the updated Terms will not apply until that consent is obtained.

20. General terms

These Terms, together with the Privacy Policy and any purchase-specific or feature-specific terms presented to you, form the entire agreement between you and Lookify concerning the Services. If additional terms conflict with these Terms, the additional terms control only for the relevant feature or transaction.

If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign them as part of a merger, acquisition, reorganization, sale of assets, or by operation of law. We are not liable for delay or failure caused by events beyond our reasonable control.

Section headings are for convenience only. The word "including" means "including without limitation." Electronic communications and records satisfy any legal requirement that communications or agreements be in writing, to the extent permitted by law.
